Key FunctionS of Position:

The Corporate Specialist position will report to Campbell Global's General Counsel and provide support across various departments within the firm. Key functions of the position are as follows: corporate secretarial, contract management, real estate transactions, land use and operational support, litigation management, regulatory oversight and compliance, governance matters, legal research and special projects.

Summary of Duties and Responsibilities:
  • Assuming primary responsibility of Campbell Global's Contract Management program overseeing timely review and delivery of operational and land use contracts and ancillary documents while coordinating with outside counsel and internal stakeholders.
  • Creating and maintaining corporate minute books and database of resolutions and corporate organizational documents to ensure compliance with Campbell Global's regulatory obligations.
  • Monitoring and maintaining international corporate filings and registrations for both Campbell Global and its client managed entities.
  • Working with third-party service providers to maintaining a state registration and registered agent database to monitor state registrations for approximately 100 legal entities
  • Working with outside legal counsel to review and update a full suite of operations contracts and agreements on an annual basis.
  • Providing support to the Legal Department in the management of arbitration, mediation and litigation matters, including reviewing and responding to discovery requests and related motions/pleadings
  • Managing Nondisclosure Agreements (NDAs) and providing timely (within 24 hours) responses. Supporting the Legal Department in reviewing and responding to requests and redlines.
  • Supporting the Legal Department in the management of real estate transactions including reviewing and updating land use templates, performing due diligence and assisting with acquisition start-ups.
  • Assisting with the preparation of data and information required for regulatory (e.g., SEC) maintaining proper documentation and files thereof. Support timely delivery of Form ADV brochures and related documents to new and current clients.
  • Supporting various Campbell Global departments with procedures for TCOE/Controls and periodic audits, annual reviews of internal Campbell Global policies and procedures, and tracking that they are updated on SCRIBE/CORE.
  • Supporting various Campbell Global departments in the development and implementation of Campbell Global policies and procedures, including training and monitoring programs for Campbell Global employees.
  • Managing transactional conflicts checks and AML name screening procedures associated with client transactions and related KYC checks/updates.
  • Assisting with oversight of Campbell Global's investment advisor activities to ensure compliance with regulations and internal policies and procedures.
  • Suggesting and developing procedures for the handling of projects to increase Legal Department and Compliance Department efficiencies.
  • Supporting the Portfolio and Legal Departments in the oversight of client investment mandates and guidelines, and assisting with related reporting and deliverables.
  • Prepare routine documents, agreements and instruments.
  • Drafting shareholder and director resolutions and consents.
  • Preparing minutes and other routine corporate secretary documents.
  • Ensure that environmental or financial risk management reporting is conducted in a timely and professional manner to supervisor and, if appropriate, local Safety Coordinator.
  • Respond to internal and external information requests in conjunction with management and team members.
  • Actively participate within the organization to ensure all timberland management investment services meet or exceed client commitments.
