Role Summary J.P. Morgan Asset Management is seeking an individual with the appropriate skills and experience to join its Product Development team in support of J.P. Morgan Private Capital. J.P. Morgan Private Capital's mission is to invest in growth equity and life sciences private equity opportunities. It currently sponsors two closed end funds with $1.6 billion in AUM raised from over 350 clients. The group currently has deployed capital into over 15 portfolio companies and other discrete investments, both in and outside the US.
We are seeking a dynamic individual with experience and comfort working closely with investment leads and senior business stakeholders to accelerate the build-out of the Private Capital group. The ideal candidate will be passionate about private markets, including venture and growth equity strategies. This individual will be responsible for working across Private Capital on key initiatives including (i) downstream investment activities; (ii) fund and managed account launches, and (iii) handling and support of a range of corporate governance, committee and similar matters affecting the group's investment functions, including internally- and externally-facing activities. This is a dynamic, high-profile position on the Alternatives Product Development team for a multi-billion alternatives investment platform within J.P. Morgan Asset Management. The team is close-knit and looking for a candidate with not only the right technical skills, but also the correct balance of work ethic, collegiality, and sense of humor to add to our company culture.
Job Responsibilities- Regularly review and advise on the group's downstream investment activities and related portfolio company transactions, including all associated documentation (e.g., NDAs, term sheets, stock purchase agreements, asset purchase agreements, due diligence materials, financing agreements, management agreements, disclosure schedules and other closing documents)
- Oversee and direct the efforts of outside law firms on investment activity, including participating in review and selection of such firms, budgeting, etc., in coordination with JPM Legal
- Regularly review and advise on preparation of documentation associated with the launch of funds and managed accounts, co-investments and other investment management activities (e.g., summary of terms, private placement memoranda, LPAs, investment management agreements, subscription agreements, etc.), in coordination with JPM Legal, and participate in the closing and operation of such vehicles
- Communicate and coordinate significant product structuring and transaction issues with all relevant internal stakeholders (including Alternatives Legal, Corporate Tax, Bank Regulatory Legal, Compliance and other colleagues)
- Support Business Reviews for Private Capital as well as key updates to senior management
- Support the project management lifecycle of business process projects and the operational build-out of new product initiatives
- Support governance bodies for the Private Capital businesses including but not limited to the Independent Board(s) and Investment Committee(s)
- Assist in developing business process specifications and control and process documentation including managing key procedures for the business
- Assist with internal audits and compliance exams
Required qualifications, capabilities and skills - 5+ years of experience as a licensed attorney in a law firm or financial institution handling corporate transactions
- Qualified attorney
- If from a law firm, desire to use legal skills within a business context and move from being a legal adviser to one that has direct responsibility for leading and completing projects in a high growth business
- Excellent oral and written communication skills and organization skills to effectively manage coordination within a large and multi-faceted organization
- Excellent analytical skills
- Strong project management skills, with emphasis on controls and focus on process improvement
- Strong attention to detail
- Ability to build strong working relationships and influence a wide range of stakeholders, including executive management
- Candidate must relish the opportunity to wear many hats and transition between them seamlessly
Preferred qualifications, capabilities and skills - Education, experience, or professional certification in a complimentary discipline, e.g., CFA, CAIA, tax, or an MBA is a plus.
