Salary range: $160, 000 - $225, 000

Job Description:

Work with the Global Transaction Tax team in providing practical tax advice to corporate and private equity buyers and sellers throughout the transaction life cycle. Perform tax due diligence, including reviewing target's historic tax profile, planning, tax examination, acquisition/disposition, and filing history to assess potential risks and opportunities. Use the due diligence process to identify opportunities for further tax efficiencies. Structure transactions in a tax-efficient manner. Review and evaluate significant tax attributes, credits and incentives. Review and comment on purchase agreement and disclosure schedules. Evaluate potential acquisition structures. Model transaction scenarios. Identify matters to be addressed postclosing, including integration related risks and opportunities. Demonstrate an understanding of increasingly complex tax concepts and effectively apply tax knowledge to client situations. Develop and deliver quality tax planning approaches with timely and responsive services and work product that meets and/or exceeds client expectations. Perform due diligence including review of tax returns, financials, and other tax documentation to evaluate potential tax risks and opportunities. Review and comment on tax aspects of financial models. Review and comment on tax aspects of purchase agreements. Coordinate with state and local and international tax team members, as well as financial and operational due diligence team members, to deliver highest quality integrated work product. Develop and maintain client relationships.

Minimum Requirements:

LL.M or Master's degree [or foreign equivalent] in International Taxation and minimum 3 years of senior manager or manager level tax advisory experience working with international project management. Experience must include: advising domestic and foreign companies on transactions involving cross-border and domestic corporate reorganizations, M& A, and international tax structuring and compliance; performing tax due diligence to assess potential risks including analyzing target's historic tax profile, planning, tax examination, acquisition/disposition and filing history; evaluating tax attributes and analyzing tax aspects of financial models and purchase agreements; drafting memoranda on international tax matters; modeling transaction scenarios; and working with Latam clients.
