Job Summary
The Senior Legal Counsel will provide legal and compliance support across the Inogen business globally. The position reports to the General Counsel & EVP, Business Development. Working directly with senior executives and the General Counsel, the successful candidate will provide the highest level of legal and compliance support for issues and concerns within the organization, in a practical, coordinated, and effective manner, in alignment with company and external requirements.
The Senior Legal Counsel will work closely with the business, participating in leadership team meetings and providing legal support for both the daily business operations and strategic initiatives. The Senior Legal Counsel will manage legal issues across a wide spectrum of areas, including product management, business development, acquisitions, human resources, and litigation, and manage outside counsel as appropriate with regards to these issues. The position will also provide leadership and guidance to the company with respect to regulatory, privacy, and compliance matters. The position is expected to manage complex legal issues, providing detailed analyses of the matters while assessing the risks and benefits to the business. The individual is expected to exercise judgment and demonstrate the highest integrity in obtaining results, drafting and negotiating agreements, and generally providing support to the company.
The Senior Legal Counsel will develop a deep understanding of the company’s business and possess the ability to evaluate and balance both legal and business factors when providing advice. The individual will also assist in developing processes to ensure the efficient operation of the function and to improve the understanding of the legal and compliance requirements across the organization.
Responsibilities (Specific tasks, duties, essential functions of the job)
- Represent the legal department as a practical, business-minded advisor across the company, including by advising and assisting employees at all levels of the organization, including senior executives and the Board as needed.
- Negotiate and draft strategic agreements, such as business collaborations, supply contracts, mergers and acquisitions, etc., and manage the legal aspects of any resulting collaboration or acquisition, including any integration of additional businesses or products.
- Manage employment law issues and provide leadership and support to HR function and the company.
- Develop and maintain expert knowledge of evolving and existing requirements and regulations around compliance risks for medical device companies in the DME and respiratory areas, and provide direction on anticipated, future requirements.
- Provide clear and concise communications regarding compliance requirements and expectations to drive consistency across the global business.
- Drive healthcare, employment, and related compliance activities in collaboration with the other members of the legal and compliance team.
- Develop and implement policies as needed to ensure compliance with privacy requirements across the globe, including with respect to HIPAA, GDPR, and other privacy laws.
- Develop, implement, and maintain programs for compliance risk areas as needed, including promotional activities, HCP interactions, anti-kickback, Stark law, Sunshine laws and bribery & corruption laws.
- Assist in compliance training and monitoring procedures to ensure adherence to policies and applicable laws and regulations.
- Manage outside counsel where needed for specific intellectual property, regulatory, HR, and commercial matters.
- Assist with the execution of standard agreements and provide legal support generally on day-to-day issues facing the business.
- Handle miscellaneous duties and ad hoc activities as necessary to support the General Counsel and EVP, Business Development.
- Maintain highest levels of internal and external confidentiality.
Qualifications (Experience and Education)
- JD with excellent academic credentials from an accredited law school.
- Active bar membership in at least one US jurisdiction.
- 5+ years of law firm and/or in-house experience, including experience with medical device, pharmaceutical or other healthcare focused multinational companies.
- Significant experience managing healthcare compliance matters, including anti-kickback, sunshine and related laws, as well as privacy regulations, such as HIPAA and other data privacy laws and regulations.
Knowledge, Skills, and Abilities
- Demonstrated ability to lead and manage legal risks for complex strategic transactions, including acquisitions.
- Exceptional drafting and negotiation skills.
- Business oriented legal advice with demonstration of highest ethics and integrity.
- Experience and understanding of FDA regulations and intellectual property issues in relation to a medical technology focused company.
- Strong verbal, written, analytical, and persuasive skills and ability to interact effectively with all levels.
- Highly organized, exhibiting meticulous attention to detail.
- Exceptional time management and communication skills.
- Ability to multitask and work independently on assignments.
