As a Intellectual Property Technology Transactions Attorney - Vice President, Assistant General Counsel in the Intellectual Property Legal Team, you will structure and draft IP terms across a range of technology agreements, including IP licenses, SaaS agreements, and M& A transactions. Job Responsibilities: - Partner with business and legal experts to negotiate IP terms in strategic technology agreements.
- Structure and negotiate transaction documents for mergers, acquisitions, and strategic investments.
- Conduct due diligence reviews of IP-related documents in acquisition and investment transactions.
- Provide advisory and transactional support by assessing IP legal risks and evaluating mitigation strategies.
- Review, interpret, and analyze IP agreements, ensuring alignment with policies and regulations.
- Provide legal support on intellectual property matters related to Generative AI.
- Assist with IP litigation and copyright issues.
- Engage with personnel at all levels, including senior executives, to provide guidance on IP rights.
- Foster innovation while protecting the firm's IP assets.
- Collaborate with global teams to support innovative initiatives and external partnerships.
Required Qualifications, Capabilities, and Skills: - Minimum 6 years of relevant intellectual property experience in a law firm or corporate law department.
- Experience in drafting and negotiating IP provisions in technology agreements.
- Experience in handling IP-related due diligence and negotiating IP provisions in M& A transactions.
- Strong analytical and problem-solving skills.
- Demonstrated understanding of IP issues associated with Generative AI platforms.
- Strong business judgment and strategic thinking.
- Expertise in identifying issues, analyzing problems, and delivering solutions.
- Strong communication skills with the ability to engage with senior executives.
- Proven ability to meet deadlines and manage multiple tasks in a high-performance environment.
- Excellent interpersonal skills with the ability to build consensus in a global matrix organization.
