The salary range posted represents the low and high end of OSI's salary range for this position. Salaries will vary based on various factors, including but not limited to, location, education, skills, experience and performance. Base salary is one component of OSI's overall total rewards package. Other components may include bonuses, special pay programs, comprehensive time off, 401k with match and a full suite of benefit offerings for you and your family.
This role is responsible for providing support to in-house Corporate Legal department in a variety of matters relating to trademarks, contracts, corporate filings and other corporate legal issues.
- Corporate - Domestic Entities
- Prepare various quarterly litigation and other Departmental reports utilized by Senior Management.
- Perform legal research.
- Organize new entities by preparing articles of incorporation, articles of association and partnership agreements, including the preparation of required filings with the Secretary of State, organizational minutes, operating and partnership agreements, stock member and partnership certificates and other related documents, obtain FEIN numbers from IRS.
- Prepare amendments to entity organization documents.
- Prepare annual shareholder/member/partner minutes for entities.
- Prepare resolutions and minutes authorizing financial and other transactions and corporate actions.
- Prepare assumed name filings.
- Prepare annual reports for Secretary of State for each entity.
- Prepare annual unclaimed property reports.
- Liaise with the company's registered agent to assure compliance with state laws.
- Obtain certificates of good standing, UCC filings, Secretary of State certifications.
- Prepare officer certifications, proxies, and affidavits.
- Maintain and update corporate data for entities.
Corporate - Foreign Entities
- Legalize documents by obtaining Apostille or County Certification and forwarding to appropriate consulates.
- Update data for each foreign entity.
Trademark
- Liaise with outside counsel for the performance of trademark searches and trademark licenses.
- Monitor outside trademark counsel registration activities.
- Maintain trademark activity files and lists.
Administration
- Maintain departmental forms on shared computer drive.
- Coordinate organization of minute books and records in library.
- Assist in the management of the Department's contract management system.
- Maintain and update the Corporate organizational charts utilizing Smart Draw.
- Perform other duties as assigned.
- This role has the responsibility to understand and place in practice appropriate safety procedures. This responsibility is achieved through education, training, use of protective equipment (as applicable) and by following safety policies, regulations, standards, and laws.

Experience & Skills
- 3-5 years of experience in related field is preferred.
- Experience in a law firm or corporate legal department.
- Excellent proficiency in all Microsoft Office Suite Products.
- Excellent writing and communications skills.
- Ability to prioritize and work independently under a tight time schedule
- Strong knowledge of corporate law administration
- Great organization and critical thinking skills.
Education
- Paralegal certificate from accredited ABA program
Work Environment
- Work is generally performed within a business professional office environment, with standard office equipment available.
- Work conditions are typical of an office environment.
- This role does not require any domestic travel
- Position may require the physical agility of lifting up to 15 pounds
- Position may require frequent and/or infrequent bending, squatting, pushing, pulling, stretching/reaching, use hands or fingers, talk, hear, feel objects, tools, controls and standing/walking on concrete flooring.
- Position may require the physical ability to stand/walk for Less than 4 hours.
