Description:

The Manager, Legal Services supports the organization's legal, risk, compliance, and ethics functions with a focus on corporate governance, entity management, legal documentation, Insurance and administrative operations. This role coordinates board support, maintains company records, manages legal templates, and oversees intake and tracking of ethics-related notices. The role may also conduct legal research to support the company's legal strategies.

The ideal candidate will bring structure, attention to detail, and a high level of discretion to the legal and compliance function.

ESSENTIAL JOB FUNCTIONS:

Corporate Governance & Legal Operations
  • Create, track, and maintain corporate governance requirements for all legal entities, including minute books, resolutions, and organizational charts.
  • Prepare and support corporate documentation such as board meeting materials, Delegations of Authority, and other governance records.
  • Draft and maintain proforma agreements and transactional documents, including Consulting Agreements, Non-Disclosure Agreements, Teaming Agreements, Leases, Powers of Attorney, and Delegations of Authority.
  • Support the legal team with litigation and non-litigation matters by preparing documents, managing timelines, and maintaining matter management systems to track assignments and deadlines.
  • Oversee maintenance of legal entities including annual reports, business licenses, domestic qualifications and dissolutions, and ongoing compliance monitoring.
  • Manage relationships and liaise with registered agents, outside counsel, and other external legal service providers.
  • Support internal teams with corporate information requests and documentation for Know Your Client (KYC) requirements, proposal submissions, and opening/closing bank accounts.
  • Assist with foreign business registrations, including renewals, tracking deadlines, and managing document legalization or authentication for international use.
  • Perform administrative functions such as document retention, creating PowerPoint presentations and Excel reports, scheduling meetings in Outlook, and coordinating travel and expense reports through CONCUR.
  • Process legal department invoices and support preparation of legal budgets and spend tracking.


Compliance & Ethics
  • Support ongoing compliance and ethics initiatives across the organization.
  • Manage intake, tracking, and initial triage of ethics complaints, notices, or reports.
  • Ensure proper documentation, routing, and follow-up for compliance-related matters.
  • Assist in the development and maintenance of ethics and compliance policies and resources.
  • Help coordinate compliance-related communications, training, and awareness campaigns.


EDUCATION & EXPERIENCE
  • Bachelor's degree preferred; or Associates degree and paralegal certificate, legal studies, or compliance training
  • 5+ years of relevant legal services or corporate legal department experience.
  • Familiarity with corporate governance, entity compliance, and legal documentation.
  • Experience supporting compliance and/or ethics programs is a plus.
  • Excellent organization, communication, and interpersonal skills.
  • Strong discretion and ability to handle sensitive and confidential information.
  • Proficiency in Microsoft Office; experience with legal or compliance tracking systems preferred.


PREFERRED SKILLS:
  • Experience supporting a General Counsel, Compliance Officer, or senior legal team.
  • Familiarity with domestic and international business registration and compliance obligations.
  • Prior experience managing complaint or incident intake systems.
  • Strong follow-through and ability to juggle multiple priorities in a fast-paced environment.
  • Collaborative mindset with a strong service orientation.


TRAVEL: Minimal, but may be required under certain circumstances

SECURITY CLEARANCE: Ability to obtain a Secret Clearance or above
