- Collaborate on a widerange of matters for the Board of Directors, including meeting preparation, agenda and materials drafting, preparing meeting materials for electronicdistribution, director compensation and director orientation
- Assist with the InsiderTrading Program compliance, including providing stock trading clearances
- Prepare SEC Section 16insider trading filings
- Draft certain SECfilings on Form 8-K and collaborate on preparing certain sections of other SECfilings such as Form 10-K and 10-Q
- Prepare key sections ofthe annual general meeting of shareholders ("AGM") proxy statement and draftdirector and officer questionnaires and AGM documents
- Support as neededgeneral corporate matters such as subsidiary maintenance, drafting secretarycertificates, and other certificates
What makes you great
- Minimum of 7-10 years of corporate governance paralegal experience preferably with a combination of law firm and in-house experience; significant public company experience is essential
- Associate's degree preferred
- Paralegal Certification preferred
- Strong communication and interpersonal skills are required, with a collaborative approach and a demonstrated ability to work effectively in a team- oriented environment
